Job Details
- Key Responsibilities
- Conduct legal research supporting attorney work product and client objectives
- Evaluate healthcare provider credentialing, licensing, and regulatory compliance pathways, including applications involving complex entity structures and agency-specific requirements
- Communicate with regulatory agencies and officials regarding application status, translating client goals into clear, professional regulatory communications
- Prepare regulatory and corporate filing documentation with accuracy, completeness, and client readiness, identifying form overlaps and requirement inconsistencies
- Track sequencing and dependencies of regulatory approvals and corporate milestones, particularly for healthcare entities
- Maintain and update precedent forms, templates, and documentation libraries to ensure consistency and efficiency
- Support entity formation, amendment, merger, and dissolution filings and documentation
- Draft initial transactional documents including board resolutions, stockholder resolutions, closing certificates, and ancillary M&A documents
- Draft due diligence tasks: document review, contract analysis, corporate record summaries, and evidence organization
- Manage transaction execution logistics, including closing checklists, signature coordination, and document assembly
- Maintain corporate governance records, including minute books, capitalization tables, and related documentation
- Monitor regulatory and filing deadlines for timely compliance
- Serve as primary point of contact between attorneys, clients, government agencies, and service providers
- Organize post-closing documentation and assist in closing binder preparation
- Complete additional projects and responsibilities as directed
Required Qualifications
- 0–5 years professional office experience (paralegal background preferred; corporate and/or healthcare experience a plus)
- Paralegal certification from an ABA-accredited institution
- Proficiency with Microsoft Office Suite, including intermediate-to-advanced spreadsheet skills
- Strong written and verbal communication ability
- Demonstrated organizational and project management capability
- Attention to detail and commitment to accuracy
Preferred Qualifications
- Prior experience in corporate transactional practice
- Exposure to healthcare regulatory or credentialing processes
- Familiarity with corporate governance and M&A documentation
