About the role
We are seeking a detail-oriented, highly organized, and proactive Corporate Paralegal (or Senior Corporate Paralegal, depending on experience) to join our growing Legal & Compliance team. Responsibilities
- Lead the intake, tracking, management, and initial review and/or revisions of routine commercial contracts, e.g., NDAs, supply agreements, construction agreements, and Software-as-a-Service (SaaS) agreements.
- Manage escrow agreements, including its setup process and coordinating with stakeholders throughout the process.
- Carefully coordinate contract execution processes and help manage and update the contract repository database and contract templates.
- Provide administrative support for maintaining files, supporting documentation, and activity trackers related to commercial contracts claims and dispute resolution processes.
- Maintain corporate records, minute books, and entity documentation for domestic and global subsidiaries.
- Aid in preparing board meeting materials, resolutions, consents, and governance documents.
- Support assistance with SEC Reporting & Compliance (e.g., Section 16 filings).
- Assist with various regulatory and compliance filings across multiple jurisdictions, including Know Your Customer (KYC) and Ultimate Beneficial Owner (UBO) reporting.
- Monitor filing deadlines to ensure timely regulatory compliance.
- Conduct legal research on corporate governance, exchange regulations, and commercial compliance matters.
- Carefully coordinate and support special projects across the legal department as needed.
Qualifications & Experience
- Bachelor’s degree and/or an ABA-approved paralegal certificate is preferred.
- For Paralegal level: 3–5 years of corporate paralegal experience in a corporate legal department or law firm, with exposure to public company environments.
- For Senior Paralegal level: 6+ years of relevant corporate paralegal experience with strong independent capabilities.
Technical Skills
- Practical experience with SEC filing software, Section 16 filing portals, and corporate entity management databases.
- Proficiency with contract management systems (CMS), document management systems (DMS), and Microsoft Office Suite (Word, Excel, PowerPoint, Teams).
