Corporate Paralegal

The Legal team at Cross River handles all legal responsibilities, and we are currently seeking a Corporate Paralegal to join our team. Reporting to the Associate General Counsel (and Chief Legal Officer), this role requires a minimum of 8+ years of paralegal experience, preferably with a recognized U.S. law firm or in-house at a financial institution, fintech company, or technology company. Key responsibilities include:

1. Maintaining corporate records
2. Overseeing entity formation and maintenance
3. Managing corporate secretarial matters
4. Producing documents related to corporate policies and templates
5. Aiding in equity award administration
6. Assisting with IPO readiness activities
7. Supporting due diligence, KYC, and AML compliance requests
8. Assisting with mergers and acquisitions, commercial contracts, and other legal documents
9. Ensuring proper contract authorization and overseeing signing authority matrices
10. Providing general support to the Law Department and assisting with special projects

Qualifications include:

• Experience with U.S. public company rules and regulations
• Equity management system experience
• Capital raising and M&A transaction experience
• Public company legal and regulatory operations experience
• Broad legal knowledge and experience in corporate law, corporate governance, banking, securities, and commercial contracts
• Leadership skills and ability to work within and coordinate with a team of legal professionals and external counsel
• Professional ethics and integrity, excellent judgment, analytical skills, and decision-making proficiency
• Proficiency in Excel and PowerPoint
• Strong organizational and attention to detail skills
• Excellent interpersonal and communication skills

The salary range for this position is $90,000.00 - $120,000.00. Cross River is an Equal Opportunity Employer.
