Essential Duties And Responsibilities
- Draft correspondence and documentation under lawyer supervision
- Aid with due diligence tasks by organizing and reviewing documents; assist and manage virtual data rooms with deal teams
- Revise, proofread, and distribute draft agreements and other transactional documents
- Prepare, distribute, and collect signature pages
- Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions
- Absorb and manage transaction pre-closings and closings
- Gather, organize, and maintain precedent collections
- Carry out factual research assignments and draft memoranda
- Aid with the compilation and creation of capital market tables, checks, and revisions
- Coordinate with internal and external working groups to facilitate transactions execution
- Coordinate filings with the Securities and Exchange Commission, state corporate departments, and stock exchanges
Qualifications/Position Requirements
- Ability to manage a varied workload and meet deadlines
- Punctuality and reliability
- Proficiency in MS Word, Excel, Outlook, and other applications as needed
- Strong interpersonal skills
- Capacity to work collaboratively with lawyers and business services, exhibiting strong teamwork and a positive attitude
- Exceptional written and verbal communication skills
- Ability to proofread typed material for typographical, spelling, and grammatical errors
- Ensuring confidentiality of all the Firm’s and clients' documentation and information
Education And/or Experience
- College degree with a strong academic record (AA degree and Paralegal certificate preferred)
- Law degree not essential but would be considered a plus
- Minimum 2 years’ relevant legal experience
Compensation
The expected annual base salary for this position is $85,000 to $95,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
