Key Responsibilities
- Manage corporate entity records, prepare and file annual reports, and assist with corporate maintenance and governance activities.
- Draft various resolutions in conjunction with or under the supervision of counsel; liaise with non-U.S. colleagues and outside counsel, as needed, for non-U.S. entities.
- Support Chief Legal Officer & Secretary on Board-related administrative tasks, as needed.
- Facilitate information gathering for corporate insurance applications and claims.
- Track compliance training and administer various compliance training programs.
- Support attorneys and team members with document preparation, scheduling, and other administrative tasks as needed.
Requirements
- Education/Experience: College diploma or equivalent preferred, plus at least three years of experience or combination of experience and specialized paralegal or legal secretarial education.
- Completion of an ABA-approved paralegal program is strongly preferred.
- Experience in a corporate legal department is preferred.
- Experience with corporate entity maintenance, including maintenance of corporate books.
- Able to compose, type and assemble information in proper legal form.
- Able to conduct legal research based on instructions from an attorney.
- Able to set up and maintain a wide variety of legal files, records and reports.
- Able to exercise discretion and independent judgment on various matters of significance.
- Able to follow complex oral and written instructions.
- Able to prepare routine legal documents without the assistance of an attorney.
- Able to communicate effectively, both orally and in writing.
- Hybrid work model (expected to be in the office at least three days a week).
- High level of integrity, sound judgment and strong work ethic.
- Able to multi-task, take initiative and be adaptable.
- Maintain regular office hours.
- Establish and maintain effective working relationships with those contacted in the course of work.
- Analyze situations and adopt effective course of action.

- Knowledge of basic legal concepts, principles, and procedures including calendaring and filing practices; legal and business terminology; MS Office suite including Word, PowerPoint, and Excel; operation of basic office equipment including computer and telephone.
Compensation
The salary range for this role is between $85,000 and $105,000 per year.
