Corporate M&A Associate Attorney
The Opportunity
As a Corporate & Securities Associate, you will report to the Corporate M&A Team Leader and support our clients on a range of matters including:
- Commercial agreements
- Tech transactions
- Drafting shareholder agreements and LLC operating agreements
- Taking board minutes and drafting resolutions
- Mergers & Acquisitions (due diligence / disclosure schedule and document drafting / managing closings)
- Joint ventures
- Debt and equity capital markets transactions
- Public company reporting
Requirements
All applicants must have at least 2-4 years of experience working with corporate clients at a top-tier law firm with a primary focus on strategic transactions. Our ideal candidate will have played a leadership role in managing a meaningful aspect of a strategic transaction (including conducting and managing due diligence review, drafting primary and ancillary transaction documents and disclosure schedules, and preparing client summaries of the foregoing).

- Eligible for production bonuses starting at 1,250 billed hours annually

Waterfall Spreadsheet Knowledge
We expect you to be proficient in using waterfall spreadsheets to manage and present financial data effectively.
Regulatory Compliance
We expect you to be familiar with regulatory requirements such as Reg D, Rule 144A, and understand the differences between Category 1 and Category 3 Reg S offerings.
