Corporate (M&A) Associate Attorney
About the role
The firm's corporate team advises privately held businesses, investors, founders, family-owned companies, and middle-market clients on a broad range of transactional and day-to-day corporate matters. The work includes mergers and acquisitions, equity and ownership arrangements, governance counseling, commercial agreements, restructurings, strategic investments, and other complex business transactions.
Responsibilities
- Represent clients in private company M&A transactions, including acquisitions, sales, divestitures, joint ventures, and related strategic transactions.
- Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, and ancillary transaction documents.
- Advises clients on corporate governance, ownership structures, private offerings, and general business matters.
- Manages diligence, coordinates transaction workstreams, and collaborates with internal and external stakeholders to move deals toward closing.
- Works across a variety of industries and client types, with exposure to both sponsor-backed and privately held businesses.
Requirements
Approximately 6+ years of corporate transactional experience. Strong experience with private company M&A, private equity or investor-side transactions, corporate governance, commercial contracts, and general corporate counseling. Ability to manage deal components independently while working effectively as part of a team. Excellent drafting, writing, communication, and client-service skills. Strong judgment, attention to detail, and comfort operating in a fast-paced transactional environment. Proactive, entrepreneurial approach and genuine interest in continuing to grow as a corporate attorney.
