Corporate Legal Counsel

Responsibilities

• Provide tactical legal consulting to various operational and corporate management with respect to general business matters.
• Develop, review, and monitor of (with outside counsel’s direction, when appropriate) of contracts with suppliers, service providers and customers, including standard terms and conditions and NDAs.
• Review & Monitoring Outside Counsel
• Review Invoicing
• Bankruptcy / Credit Rights
• Management of US Legal Entities / Corporate Records for Subsidiaries
• Aid Outside Counsel with Management of Mexican Legal Entities
• Financial Transactions / Due Diligence
• Litigation Support
• Other duties as required

Requirements

• Juris Doctor and licensed to practice law in the State of Indiana (or licensed to practice law in another state with willingness to seek admission to the Indiana Bar)
• Minimum of 5 to 7 years of relevant business law experience (or equivalent)
• Public company law experience is additive, but is not required
• Strong analytical and problem solving skills
• Effective written and verbal communication skills
• Ability to work independently and as a team member with excellent interpersonal skills
• Excellent time management skills, ability to multi-task
