About the role
A mid-sized, well-respected law firm (60 attorneys) seeks to add a Corporate Attorney to their team. The ideal candidate will represent financial institutions acting as their corporate trustee (and other agency/fiduciary capacities) in domestic and global financing. Responsibilities include drafting, reviewing, and negotiating a variety of corporate documents, as well as assisting partners with closings.
Responsibilities
- Draft, review, and negotiate corporate documents such as offering documents, indentures, credit agreements, trust agreements, collateral agency agreements, depositary agreements, security agreements, mortgages, control agreements, servicing agreements, administration agreements, and ancillary documents.
- Assist partners with closings.
Requirements
- Licensed to practice law in New York.
- 3+ years of Corporate Trust/Securities experience with a large law firm.
- Experience in one or more of the following areas is preferred:
- Trust Indenture Act qualified transactions
- Rule 144A and Reg S offerings
- Debt restructurings
- Corporate and municipal bond financings
- Asset-backed and mortgage-backed securitizations
- Insurance linked products
- Cross-border transactions
- Project finance transactions
- Secured high-yield debt transactions

Pay
