Responsibilities

  • Draft, review, negotiate, and manage a variety of commercial agreements, including construction, procurement, manufacturing, engineering, technology, vendor, customer, and professional services contracts.
  • Advise business leaders on legal and commercial risks associated with transactions and business operations.
  • Support domestic and international projects throughout the contract lifecycle.
  • Provide day-to-day legal counsel on commercial, operational, and corporate matters.
  • Partner with cross-functional teams to identify risks and develop practical business solutions.
  • Balance legal considerations with operational and strategic business objectives.
  • Monitor legal and regulatory developments impacting the company's operations.
  • Support corporate governance activities, including entity management, board resolutions, and organizational documentation.
  • Aid in mergers and acquisitions, joint ventures, strategic investments, and other corporate transactions.
  • Support dispute avoidance, contract claims, and pre-litigation matters.
  • Coverage of process improvement and compliance.
  • Aid in the development, updating, and maintenance of contract templates, policies, and legal procedures.
  • Support compliance initiatives and risk management efforts across the organization.
  • Contribute to the continuous improvement of legal processes and business practices.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction and eligible to practice law in Missouri.
  • Minimum of 2 years of corporate transactional experience in a law firm or in-house legal department.
  • Experience drafting, reviewing, and negotiating commercial agreements.
  • Experience advising business stakeholders on legal and commercial matters.
  • Strong understanding of commercial contracting and risk management.
  • Excellent written, verbal, and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Ability to balance legal risk with business objectives.
  • Ability to communicate effectively with technical, operational, and executive stakeholders.
  • Strong organizational skills and ability to manage multiple priorities.
  • Must comply with Roeslein's core values for the safe and efficient operation of the business and maintain sound relationships among and with employees.
  • Experience with one or more of the following is preferred, but not required: engineering, construction, or EPC contracts; manufacturing or industrial operations; procurement and supply chain transactions; renewable energy or infrastructure projects; corporate governance; mergers and acquisitions; real estate transactions; commercial finance; government contracts; and international commercial transactions.
