Corporate Counsel
About the role
The Corporate Counsel will join our NAMER team of commercial transactions counsel and will be responsible for drafting, reviewing, and negotiating a variety of commercial contracts, including master services agreements, statements of work, amendments, vendor-facing service agreements, licensing agreements, and other contracts to support the company’s business. In this role, the Corporate Counsel will partner closely with cross-functional stakeholders to help close transactions efficiently and in alignment with the company’s policies and business objectives.
Essential Duties & Responsibilities
- Draft, review, negotiate and close a wide variety of commercial contracts with the company’s clients, strategic partners and vendors
- Work closely with business partners in Sales, Finance, Ethics & Compliance, Intellectual Property, Service Delivery and other teams within Rimini Street to successfully close transactions in a manner consistent with the company’s policies and best interests
- Provide other legal services and advice to the company as needed

Preferred Qualifications
- Experience supporting an internal sales organization and commercial deal process
- Experience advising on artificial intelligence, machine learning, or other emerging technology issues in the context of commercial transactions, technology contracting, or product counseling
- Experience handling intellectual property and technology-related issues
- Experience working for a tech or tech-adjacent company
Experience
At least 5 years of relevant experience as a commercial transactions attorney in private practice, in-house, or preferably a mix of both
Education
Graduate of an accredited American law school and currently licensed to practice law in the employee’s state of residence
