About the Role

This position supports Rheem North America, located in Atlanta, GA, under a hybrid work arrangement. Team members work in the office Monday through Thursday and remotely on Fridays.

The Corporate Counsel is a member of the Law Department who provides legal guidance on commercial transactions and contract negotiations, serving as a key point of contact between internal business teams and senior legal counsel.

Responsibilities

  • Receive intake requests from procurement managers, sales teams, and other business units; assess contract needs and provide initial legal guidance.
  • Draft, review, and negotiate a wide range of commercial agreements, including procurement contracts, vendor agreements, customer contracts, supply agreements, distribution agreements, and sales-related documents.
  • Advise business teams on contract interpretation, risk allocation, and legal implications of contractual provisions.
  • Review and redline third-party agreements against company templates and negotiation guidelines (where available), ensuring compliance with company policies and applicable laws and regulations.
  • Coordinate cross-functional approvals with subject matter experts and ensure compliance with the company’s delegation of authority policies.
  • Manage contract lifecycle activities, including tracking authorizations, expirations, renewals, and related correspondence within the contract lifecycle management system.
  • Draft and negotiate contract modifications, amendments, and statements of work.
  • Identify potential improvements to existing contract templates, playbooks, and legal processes.
  • Conduct special projects as assigned, including supporting development of standard contract terms and assisting with legal research as needed.
  • Perform other duties and projects as assigned.

Requirements

  • J.D. from an accredited law school and active bar membership in good standing.
  • 7+ years of contracts negotiation experience at a law firm or in-house legal department.
  • Strong knowledge of contract law, commercial transactions, and general corporate legal principles.
  • Contract negotiation experience, preferably in-house, across a broad range of commercial agreements.
  • Experience with technology and IT agreements, equipment and tooling, aviation, and logistics is a plus.
  • Proficiency with legal technology tools, including contract lifecycle management systems, Microsoft Office, and legal research platforms.
