Responsibilities
- Draft, review, negotiate, and administer a wide variety of commercial agreements, including confidentiality agreements, consulting agreements, professional services agreements, vendor agreements, software agreements, and other operational contracts.
- Assist business teams in identifying legal and commercial risks and developing practical solutions.
- Support the development and maintenance of contract templates, playbooks, and internal legal processes.
- Support the Origination team in the negotiation and administration of leases, purchase options, easements, access agreements, crossing agreements, and other real estate documents.
- Aid in title and survey review and resolution of real estate diligence matters.
- Coordinate with outside counsel, title companies, surveyors, and consultants on project development matters.
- Support permitting, land use, and regulatory diligence activities.
- Aid in project acquisitions, dispositions, joint ventures, financings, tax equity transactions, and other strategic transactions.
- Manage due diligence processes, data rooms, disclosure schedules, and transaction closing deliverables.
- Draft ancillary transaction documents, consents, certificates, and closing documentation.
- Carefully coordinate with outside counsel and transaction counterparties to facilitate successful closings.
- Support review and negotiation of EPC agreements, equipment supply agreements, operations and maintenance agreements, and related project contracts.
- Aid in contract administration, claims management, dispute resolution, and risk mitigation efforts.
- Provide legal support to construction and procurement teams throughout project execution.
- Aid in corporate governance matters, including entity formation and maintenance, board resolutions, written consents, and organizational records.
- Support compliance with applicable laws, regulations, and company policies.
- Maintain monitoring of legal and regulatory developments affecting the renewable energy industry.
- Provide legal guidance to Development, Finance, Construction, Asset Management, and Executive Leadership teams.
- Manage outside counsel and specialized consultants as appropriate.
- Support special projects and strategic initiatives as assigned by the General Counsel.
Requirements
Experience in renewable energy, project development, commercial real estate, construction, infrastructure, project finance, mergers and acquisitions, or commercial contracting.
Familiarity with solar, battery storage, transmission, or other energy infrastructure projects.
Prior law firm or in-house legal department experience.
Intellectual curiosity and eagerness to learn.
Strong sense of ownership and accountability.
Commercial mindset and practical approach to legal issues.
Ability to build trusted relationships across all levels of the organization.
Self-directed and effective in a dynamic, entrepreneurial environment.
Passion for renewable energy and the clean energy transition.
