Corporate Counsel

This position is based at the corporate headquarters in New Braunfels, TX (25 miles east of San Antonio).

About the role

The Corporate Counsel will provide general legal support to all Alamo Group business units and activities, including corporate compliance, legal counseling, and management of pre-litigation and litigation matters.

Responsibilities

• Assist with the development and execution of corporate compliance objectives, including maintaining and revising policies and procedures to prevent illegal, unethical, or improper conduct (e.g., anti-corruption (FCPA), export controls, import regulations, NHTSA reporting, cybersecurity/privacy, and anti-trust regulation).
• Review contracts for business units, including dealer agreements, supply agreements, NDAs, consulting agreements, IT agreements, licensing, and other commercial contracts.
• Assist with due diligence and contracting efforts for merger and acquisition transactions.
• Work with internal clients on pre-litigation dispute matters and other legal issues requiring review.
• Provide human resources and labor/employment counseling and advice.
• Manage Alamo Group’s portfolio of global legal entities, ensuring timely filings.
• Assist with real estate transactions, including commercial leases and property acquisitions/dispositions.
• Develop training programs, communications, and tools to foster compliance awareness and adherence.
• Monitor and advise on regulatory and legal changes affecting business operations and reporting obligations.
• Improve contract templates and guide business teams on their proper use, legal issues, and contracting best practices.
• Advise on dealer termination issues as required.
• Manage Alamo Group’s patent and trademark portfolio, including renewals and infringement monitoring.
• Establish and maintain strong working relationships with company leaders and key external stakeholders.
• Perform additional duties as assigned.

Requirements

• Juris Doctor from an ABA-accredited law school and active membership in good standing with at least one state bar.
• 3–8 years of law firm and/or in-house legal experience.
• Sound business and legal judgment with the ability to work autonomously and prioritize multiple tasks.
• Flexibility and adaptability to operate effectively in a dynamic, fast-paced environment.
• Knowledge of global market challenges and legal processes supporting a rapidly growing public company.
• Effective supervisory and project management skills, including oversight of outside counsel.
• Ability to implement legal strategies aligned with business goals.

Schedule

Work is primarily performed in an office environment with frequent sitting and occasional walking in and around a manufacturing plant. Remote work may be permitted up to 2 days per week.
