About the role
The Corporate Counsel will report to the General Counsel and provide broad legal support across the organization. This role is ideal for a junior attorney with 2–5 years of experience who is eager to develop a diverse in-house practice within a dynamic, fast-paced financial services environment.
Job Duties And Responsibilities
- Support debt and equity capital markets activities, including documentation, due diligence, and transaction execution.
- Assist with corporate governance matters, including preparation of board materials, maintenance of corporate records, and subsidiary management.
- Manage and coordinate outside counsel in connection with collection efforts, litigation, and dispute resolution.
- Draft, review, and negotiate a wide range of commercial agreements, including financing documents, vendor contracts, and service agreements.
- Partner with the marketing team on review of materials and communications to ensure compliance with legal and regulatory requirements.
- Collaborate cross-functionally with business teams to identify and mitigate risk while supporting business objectives.
- Contribute to process improvements and internal training to strengthen the company’s legal and compliance framework.
Experience, Qualifications, And Requirements
- J.D. from an accredited law school and active membership in good standing with at least one state bar.
- 2-5 years of relevant legal experience in a law firm, financial services, or corporate in-house environment.
- Experience with secured transactions, corporate transactions, financial services regulation, or litigation preferred.
- Strong drafting, negotiation, and analytical skills with attention to detail a must.
- Able to manage multiple projects and deadlines in a fast-paced, entrepreneurial environment.
- Excellent communication skills and a collaborative, business-oriented approach.
- Interest in the agricultural or specialty finance industries a plus.
Physical Demands
- Moderate noise (i.e., home office with computer, phone, and printers)
- Must be able to sit at a computer for an extended period
