Responsibilities
- Represent clients in mergers and acquisitions, corporate restructurings, and other complex business transactions.
- Draft, review, and negotiate purchase agreements, commercial contracts, and other transactional documents.
- Lead and coordinate legal due diligence for acquisitions and corporate transactions.
- Manage transaction closings from initial planning through post-closing activities.
- Advising clients on corporate governance and general business law matters.
- Support capital raises, financing transactions, and entity formation matters.
- Handle software licensing, technology transactions, and intellectual property agreements.
- Assist clients with government contracting and employment-related transactional matters.
- Work collaboratively with attorneys across multiple practice areas to provide comprehensive legal solutions.
- Maintain direct client communication while delivering high-quality legal work in a timely manner.
Qualifications
- J.D. from an accredited law school.
- Corporate transactional or M&A experience.
- Experience drafting and negotiating transactional agreements.
- Strong due diligence and closing management experience.
- Excellent legal writing, analytical, and communication skills.
- Able to manage multiple projects simultaneously.
- Strong client service orientation.
- Collaborative mindset with the ability to thrive in a team environment.
- Active Virginia Bar membership or eligibility for admission.
Compensation
- Salary: $125,000–$175,000, depending on experience.
