Overview We are seeking a senior Corporate Associate (6+ years) to join our growing Corporate Practice. The ideal candidate will have strong experience in general corporate and M&A transactions and the ability to independently manage matters while working closely with partners and clients. Key Responsibilities Represent clients in a wide range of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and strategic investmentsDraft, review, and negotiate transactional documents, including purchase agreements, merger agreements, shareholder agreements, operating agreements, disclosure schedules, and ancillary closing documentsOversee and manage entire deal process, from due diligence to drafting and negotiation, including communication with clients and opposing counselAssist with transaction structuring, deal management, and closing logisticsAdvise clients on general corporate matters, including entity formation, governance, capitalization, and ongoing complianceCoordinate with attorneys in other practice groups (tax, finance, employment, litigation) as neededLead deal teams, mentor associates and paralegals on transactions, and provide guidance and feedbackMaintain direct communication with clients and contribute to building long-term client relationships Skills & Qualifications JD from an ABA accredited law school6+ years of experience in transactional work at a law firm, including drafting and negotiating principal deal documentsStrong knowledge of corporate governance, entity structures, and transactional processesExcellent drafting, analytical, and organizational skillsAbility to manage multiple transactions simultaneously in a fast-paced environmentDemonstrated ability to manage client relationshipsStrong attention to detail and sound business judgmentTeam-oriented with a proactive and solutions-driven mindset Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
