About the role

Our client, a well-established law firm in Philadelphia, is seeking a Corporate Associate with 4-6 years of transactional experience to join its growing Corporate & Securities practice. This position is ideal for an attorney with a strong background in mergers and acquisitions, as well as advising businesses on a broad range of corporate matters. The practice represents private equity firms, closely held businesses, financial institutions, entrepreneurs, and investors in complex domestic and international transactions spanning a variety of industries.

Attorneys in this group are entrusted with meaningful client interaction, substantial responsibility, and the opportunity to work on sophisticated transactions from inception through closing.

Responsibilities

  • Represent clients in mergers, acquisitions, asset and equity sales, and other strategic business transactions.
  • Advise privately held companies on day-to-day corporate legal matters and ongoing business operations.
  • Assist clients with entity formation, corporate governance, organizational matters, and general business counseling.
  • Support private equity investments and transactions involving portfolio companies.
  • Structure and negotiate joint venture arrangements.
  • Handle debt and equity financing transactions.
  • Draft, review, and negotiate purchase agreements, ancillary transaction documents, and other commercial agreements.
  • Manage due diligence efforts, coordinate transaction timelines, and oversee closing processes.
  • Supervise junior attorneys and legal staff as appropriate while serving as a key member of transaction teams.
  • Build and maintain strong client relationships through direct communication and practical legal advice.

Pay

$185,000 - $250,000 per year
