Corporate Associate – Private Equity

The Opportunity

A leading regional firm is seeking a mid-level corporate associate to join its expanding private equity and fund formation team. The role involves representing fund sponsors, investment advisers, family offices, and institutional investors on a broad range of transactional and regulatory matters. You Will Work On

• Formation and structuring of private equity and venture capital funds
• Fund investment and regulatory advisory work
• Strategic joint ventures, private financings, and M&A
• Negotiation of investment management and sub-advisory agreements
• Advising on compliance and disclosure obligations

Requirements

• 3–5 years of experience in investment management and private fund formation
• Significant experience drafting fund documentation (PPMs, LPAs, subscription agreements, side letters, etc.)
• Exposure to investment adviser regulatory issues under the Advisers Act
• Experience with family offices, institutional investors, and/or fund sponsors a plus
• Strong writing, communication, and problem-solving skills
• Bar admission in jurisdiction of practice
