About the role

The Miami office is seeking a mid-to-senior level Corporate Associate with 3-5 years of experience in M&A transactions, preferably including private equity and other equity investments, joint ventures, corporate governance, licensing, and partnership issues. Knowledge of securities law, tech, and fund formation are a plus. Florida Bar is required.

Responsibilities

  • Engage in a variety of corporate transactions, including mergers and acquisitions, private equity investments, joint ventures, corporate governance, licensing, and partnership issues.
  • Provide legal advice and counsel to clients on securities law, tech, and fund formation matters.
  • Collaborate with partners and other associates to develop and implement strategic plans.
  • Assist in managing client relationships and building a strong reputation within the firm and the industry.
  • Contribute to the development and implementation of new business initiatives and strategies.

Requirements

  • 3-5 years of relevant experience in corporate transactions, particularly in M&A, private equity, joint ventures, corporate governance, licensing, and partnership issues.
  • Knowledge of securities law, tech, and fund formation.
  • Florida Bar membership.

Qualifications

  • Strong academic background, typically a JD from an accredited law school.
  • Excellent analytical, research, and writing skills.
  • Ability to manage multiple tasks and projects simultaneously.
  • Effective communication and interpersonal skills.
  • Passion for entrepreneurship and collaboration.

Skills

  • Experience in M&A, private equity, joint ventures, corporate governance, licensing, and partnership issues.
