Position Summary

Shutts & Bowen is seeking a Senior Associate or Partner for our Corporate Group in our Miami office. The successful candidate will have 6-15 years of relevant experience in the areas of mergers & acquisitions, joint ventures, fundraising documentation/fund formation, and general contractual matters. This attorney will work closely with practice group leadership and other attorneys on the team. Must be admitted to the Florida Bar.

Responsibilities

  • Advising clients on complex corporate transactions including mergers, acquisitions, joint ventures, and fundraising documentation.
  • Preparation and negotiation of various types of commercial contracts, including but not limited to supply agreements, distribution agreements, and licensing agreements.
  • Assisting in the formation and management of new business ventures and partnerships.
  • Collaborating with other members of the Corporate Group and other departments within the firm to provide integrated legal solutions to clients.
  • Participating in client meetings and presentations to discuss legal issues and potential solutions.
  • Contributing to the development and implementation of the Corporate Group's strategic initiatives and goals.

Requirements

  • Minimum of 6-15 years of relevant experience in corporate law, with a focus on mergers & acquisitions, joint ventures, fundraising documentation, and general contractual matters.
  • Admission to the Florida Bar.
  • Strong academic credentials, typically a JD from an ABA-accredited law school.
  • Excellent analytical and problem-solving skills.
  • Effective communication and interpersonal skills, with the ability to build strong relationships with clients and colleagues.
  • Ability to manage multiple projects simultaneously and meet deadlines.

Qualifications

  • Proven track record of success in corporate law, particularly in mergers & acquisitions, joint ventures, fundraising documentation, and general contractual matters.
  • Experience working with clients in diverse industries, including technology, healthcare, and financial services.
  • Knowledge of regulatory requirements and compliance issues related to corporate transactions.
  • Ability to handle sensitive and confidential information with discretion and professionalism.

Skills

  • Strong negotiation and advocacy skills.
  • Ability to work independently and as part of a team.
  • Proficiency in Microsoft Office Suite and familiarity with legal research tools.
  • Excellent written and verbal communication skills.

Pay

Salary is commensurate with experience and qualifications.

Schedule

The Corporate Group operates Monday through Friday, with occasional evening and weekend work required for client meetings and events.
