Primary Duties and Responsibilities

  • Draft, review, and negotiate contracts such as service agreements, vendor agreements, NDAs, and purchase orders.
  • Collaborate with stakeholders to ensure terms and conditions align with organizational goals and policies.
  • Manage the end-to-end contract process, including initiation, execution, renewal, and termination.
  • Maintain an organized repository of all contracts, ensuring accessibility and version control.
  • Track key milestones, such as expiration dates and deliverables, to ensure timely action.
  • Ensure contracts comply with applicable laws, regulations, and organizational policies.
  • Identify and mitigate risks associated with contractual agreements.
  • Work with legal counsel on complex or high-risk contracts as necessary.
  • Act as a point of contact for internal departments (e.g., legal, finance, procurement) regarding contract matters.
  • Educate and advise stakeholders on contract standards, processes, and best practices.
  • Identify opportunities to streamline and improve contract management processes.
  • Stay updated on industry trends, legal developments, and best practices in contract management.
  • Draft, review, and edit legal documents, including contracts, pleadings, affidavits, and correspondence.
  • Aid in preparing discovery materials, trial exhibits, and case briefs.
  • Ensure accurate formatting, proofreading, and filing of documents in compliance with court rules or organizational standards.

Qualifications, Education and Experience

  • Bachelor’s degree in business administration, law, or Associate’s degree in paralegal studies, legal studies, or related field.
  • 3+ years of experience in contract management, procurement, or related role.
  • 5+ years of experience as a paralegal.
  • Optional: Certifications - Certified Paralegal (CP) or Advanced Certified Paralegal (ACP) from NALA or equivalent.
  • Certified Commercial Contracts Manager (CCCM) or Certified Professional Contract Manager (CPCM) preferred.

Skills, Knowledge and Abilities

  • Strong knowledge of contract law, terms, and conditions.
  • Proficiency in contract management software and tools (e.g., DocuSign, ContractWorks, or Coupa).
  • Excellent negotiation, problem-solving, and analytical skills.
  • Exceptional attention to detail and organizational abilities.
  • Strong written and verbal communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong organizational skills and the ability to manage multiple tasks and deadlines.
  • High level of discretion and professionalism when handling sensitive or confidential information.
