Primary Duties and Responsibilities
- Draft, review, and negotiate contracts such as service agreements, vendor agreements, NDAs, and purchase orders.
- Collaborate with stakeholders to ensure terms and conditions align with organizational goals and policies.
- Manage the end-to-end contract process, including initiation, execution, renewal, and termination.
- Maintain an organized repository of all contracts, ensuring accessibility and version control.
- Track key milestones, such as expiration dates and deliverables, to ensure timely action.
- Ensure contracts comply with applicable laws, regulations, and organizational policies.
- Identify and mitigate risks associated with contractual agreements.
- Work with legal counsel on complex or high-risk contracts as necessary.
- Act as a point of contact for internal departments (e.g., legal, finance, procurement) regarding contract matters.
- Educate and advise stakeholders on contract standards, processes, and best practices.
- Identify opportunities to streamline and improve contract management processes.
- Stay updated on industry trends, legal developments, and best practices in contract management.
- Draft, review, and edit legal documents, including contracts, pleadings, affidavits, and correspondence.
- Aid in preparing discovery materials, trial exhibits, and case briefs.
- Ensure accurate formatting, proofreading, and filing of documents in compliance with court rules or organizational standards.
Qualifications, Education and Experience
- Bachelor’s degree in business administration, law, or Associate’s degree in paralegal studies, legal studies, or related field.
- 3+ years of experience in contract management, procurement, or related role.
- 5+ years of experience as a paralegal.
- Optional: Certifications - Certified Paralegal (CP) or Advanced Certified Paralegal (ACP) from NALA or equivalent.
- Certified Commercial Contracts Manager (CCCM) or Certified Professional Contract Manager (CPCM) preferred.
Skills, Knowledge and Abilities
- Strong knowledge of contract law, terms, and conditions.
- Proficiency in contract management software and tools (e.g., DocuSign, ContractWorks, or Coupa).
- Excellent negotiation, problem-solving, and analytical skills.
- Exceptional attention to detail and organizational abilities.
- Strong written and verbal communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong organizational skills and the ability to manage multiple tasks and deadlines.
- High level of discretion and professionalism when handling sensitive or confidential information.
