About the role
Winston & Strawn is seeking an associate with 4 - 6 years of significant experience in private equity fund formation and related matters.
Responsibilities
- Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms.
- Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.
- Having a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
- Experience with private equity secondary transactions and/or GP-led restructurings is helpful.
Requirements
All candidates must be admitted to the state bar of their office location.
Qualifications
The ideal candidate should have experience (preferably at a large law firm or, in special circumstances, an in-house setting), in:
- Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms.
- Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.
- Having a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
- Experience with private equity secondary transactions and/or GP-led restructurings is helpful.
