About the role
The ideal candidate will have 4-6 years of significant experience in private equity fund formation and related matters. This includes:
- Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms.
- Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.
Responsibilities
- Assist in the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Negotiate fund terms on behalf of institutional investors.
- Provide legal advice on structuring and drafting governing documents for private equity fund management companies and general partners.
- Ensure compliance with relevant securities rules and regulations, including the Investment Advisers Act.
- Experience with private equity secondary transactions and/or GP-led restructurings is a plus.
Requirements
Candidates must be admitted to the state bar of their office location.
Qualifications
The successful candidate will have:
- A Juris Doctor degree from an accredited law school.
- Admission to practice law in the state where the position is located.
- At least 4-6 years of relevant experience in private equity fund formation and related matters.
- A strong understanding of relevant securities rules and regulations, including the Investment Advisers Act.
- Excellent research, writing, and analytical skills.
