About the role
The ideal candidate will have 4-6 years of significant experience in private equity fund formation and related matters. This includes:
- Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms.
- Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.
Responsibilities
Key responsibilities include:
- Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
- Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms.
- Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.
- Experience with private equity secondary transactions and/or GP-led restructurings would be helpful.
Requirements
Qualifications include:
- A working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
Skills
Desired skills include:
- Experience (preferably at a large law firm or, in special circumstances, an in-house setting).
