Key Responsibilities
- Draft, review, and negotiate a variety of business contracts and agreements.
- Advise clients on legal issues related to transactions, including corporate governance and compliance.
- Conduct due diligence for mergers, acquisitions, and other business transactions.
- Research and analyze complex legal issues related to transactional matters.
- Collaborate with clients and other stakeholders to facilitate smooth transaction processes.
- Stay updated on relevant laws and regulations affecting transactional law.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active bar admission in Arkansas.
- Bachelor's or master's degree in taxation or accounting, strongly preferred.
- 5+ years of experience working in a transactional law practice, including an emphasis on forming and structuring LLCs, partnerships, corporations, and tiered organizational structures.
- Additional experience desired in the areas of mergers and acquisitions, income, estate and gift taxation, federal, state, and local tax, subchapters C and S, partnership taxation, estate planning documents, and other complex business matters.
- Strong understanding of corporate law, tax implications, and estate planning preferred.
- Excellent analytical, communication, and negotiation skills.
