Associate Attorney - Corporate
About the role
Harris Beach Murtha seeks an associate-level attorney to join our growing state-wide Corporate Practice Group. The Corporate Associate will have the opportunity to draft, review and negotiate various transactional agreements, such as shareholders agreements, operating agreements, buy-sell agreements, contracts, financing documents, and other corporate documents. They will also structure, negotiate, and close mergers and acquisitions, asset and stock purchase and sale transactions, and private equity transactions. The role involves advising clients on legal issues related to business formation, operation, and expansion, as well as succession planning. The Corporate Associate will interact with clients to service existing work and to grow and maintain relationships, collaborating with colleagues across various practice groups to provide comprehensive legal support to our clients.
Responsibilities
- Draft, review, and negotiate various transactional agreements, such as shareholders agreements, operating agreements, buy-sell agreements, contracts, financing documents, and other corporate documents.
- Structure, negotiate, and close mergers and acquisitions, asset and stock purchase and sale transactions, and private equity transactions.
- Advise clients on legal issues related to business formation, operation, and expansion, as well as succession planning.
- Interact with clients to service existing work and to grow and maintain relationships.
- Collaborate with colleagues across various practice groups to provide comprehensive legal support to our clients.
Requirements
- A minimum of 1800 billable hours annually.
- Applications are encouraged and desired if you have 3-7+ years’ experience in general corporate, business succession planning, and mergers and acquisitions.
- Admission to New York required.
- Excellent research and writing skills.
- Excellent oral and written communication skills.
- Effective teamwork and interpersonal skills.
- Conscientiousness, dedication, self-discipline, and a sense of responsibility.
- Military experience welcome.
Qualifications
- A Juris Doctorate degree from an ABA accredited law school.
- Active member in good standing of the New York State Bar.

Benefits
- Salary varies depending upon relevant experience for the position and geographic locations.
- Albany, NY or Rochester (Pittsford), NY: $140,000 - $180,000.
- Long Island (Uniondale), NY: $150,000 - $185,000.
