We are looking for an experienced transactional corporate law attorney to join a boutique firm in Phoenix, Arizona, in a hybrid capacity. This position is suited for a lawyer who enjoys advising business clients on a wide range of corporate matters and drafting practical, well-structured commercial agreements. The firm values strong client judgment, excellent legal writing, and the ability to manage sophisticated transactions with a high level of independence.

Responsibilities

  • Advise business clients on corporate transactions, entity matters, and day-to-day legal issues affecting commercial operations.
  • Draft, review, and negotiate a broad range of commercial contracts with careful attention to risk, clarity, and business objectives.
  • Support clients through business structuring, governance, and transactional planning across various stages of growth.
  • Partner directly with clients to deliver practical legal guidance tailored to their operational and strategic needs.
  • Manage multiple matters independently while maintaining accuracy, responsiveness, and sound judgment.
  • Conduct legal analysis related to corporate agreements and transactional documents to help clients make informed decisions.
  • Collaborate with other attorneys and firm personnel to move matters forward efficiently in a hybrid work environment.
  • Contribute to the development of client relationships, with an existing book of business considered beneficial.

Requirements

  • Active license to practice law and good standing in the State of Arizona.
  • At least 6 years of experience practicing transactional corporate law.
  • Demonstrated background in drafting and negotiating commercial contracts.
  • Strong understanding of corporate law principles, business transactions, and related documentation.
  • Ability to manage client matters with a high degree of independence and professionalism.
  • Excellent written and verbal communication skills with a practical, business-oriented approach.
  • Prior experience in a law firm setting.
  • Portable business is a plus, though not required.
