About the role

We are looking for a VP, Legal (Corporate and M&A) to join our Legal team and help lead corporate legal workstreams across Nscale’s most important strategic transactions.

Reporting to the SVP, Corporate and M&A, you will be one of the lead corporate counsels for Nscale, owning day-to-day corporate workstreams across M&A structuring and execution, joint ventures, equity fundraisings, restructurings, subsidiary governance, employee equity, and strategic transactions.

This is a highly visible role working closely with senior leaders across the business, including Corporate Development, Tax, Treasury, Finance, People, Governance, the CFO, and the CEO. You will act as a trusted adviser on complex corporate matters and help build the processes, templates, and playbooks that allow the corporate legal function to scale effectively.

What you'll be doing

  • Lead strategic transactions
  • - Lead M&A execution from term sheet through closing, including structuring, due diligence, drafting, negotiation, and post-close integration.
  • - Partner with Corporate Development, the CFO, and the CEO on strategic transactions, providing early-stage and ongoing legal input on deal structuring, risk assessment, and execution.
  • - Run strategic minority investments, including structuring investment terms, conducting due diligence, drafting and closing investment documentation, and managing ongoing investor rights and reporting obligations post-close.
  • Own joint ventures and corporate structuring
  • - Lead joint venture projects end-to-end, from initial structuring and governance design through negotiation of JV agreements, shareholder arrangements, and operational frameworks.
  • - Ensure alignment across commercial, financial, and legal workstreams throughout the joint venture lifecycle.
  • - Work with Tax, Treasury, and Finance on intra-group funding and reorganisations, ensuring legal documentation accurately reflects commercial and tax requirements.
  • Support governance, equity, and entity management
  • - Lead on US materials for Board and Committee, including preparing and reviewing board resolutions, minutes, and supporting materials for M&A transactions, equity matters, governance updates, and other significant corporate actions.
  • - Advise on equity issuances, secondary transactions, and shareholder matters.
  • - Work on subsidiary governance and entity rationalisation across a growing international footprint, ensuring the corporate structure scales with the business.
  • - Support employee equity workstreams in partnership with People and Finance.
  • - Partner closely with the Governance and Corporate Secretary function.
  • Scale the corporate legal function
  • - Contribute to building and systematising the corporate legal function, including processes, templates, and playbooks, so the team scales effectively.
  • - Assist the SVP, Corporate and M&A on management of external law firms and billing, including matter scoping, engagement letters, budget management, invoice review, and ensuring cost-effective use of outside counsel

About You

  • 12+ years of corporate legal experience, including top-tier law firm time and/or significant in-house experience.
  • Strong M&A and corporate transactional track record.
  • Confidence leading multi-stream transactions from structuring through execution.
  • Experience advising senior stakeholders on complex corporate matters.
  • Strong understanding of joint ventures, equity matters, subsidiary governance, and strategic transactions.
  • Ability to partner effectively with Corporate Development, Tax, Treasury, Finance, People, Governance, and executive leadership.
  • Qualified lawyer in the US in good standing.
  • Experience in fast-growth businesses is preferred but not required.
  • Experience scaling a corporate function in a high-growth or pre-IPO company is a plus.
  • Familiarity with employee equity at venture or pre-IPO stage is a plus.

What we can offer you

  • A highly competitive US compensation package (base + bonus + equity), with performance reviews every 12 months.
  • Join one of the fastest-growing AI infrastructure companies — your chance to directly shape how global AI capacity is planned and deployed.
  • Expect a dynamic progression plan tailored to your ambitions. Grow by leading critical cross-functional initiatives and shaping capital strategy — always with our full support.
  • Human-First Flexibility: We treat you as humans first.
  • Equal Opportunities Statement
  • We strongly encourage applications from people of colour, the LGBTQ+ community, people with disabilities, neurodivergent people, parents, carers, and people from lower socio-economic backgrounds.
  • If there’s anything we can do to accommodate your specific situation, please let us know.
