Vice President – Global Markets Documentation, Prime Brokerage and ISDA Negotiation
About the role
The Global Markets Documentation Team is an integral part of TD Securities. The group provides best-of-class service to business partners in TD Bank Financial Group (the Bank) through negotiation and execution of agreements that govern capital markets trading products. The team is committed to providing a seamless client experience while managing the Bank’s risk. This position will be responsible for providing best-of-class service to clients of TD Securities and internal business partners by preparing and negotiating legal documentation with global counterparties for trading products such as cash prime brokerage and equity derivatives.
Responsibilities
- Lead negotiations of ISDA Master Agreements, CSAs, Master Confirmation Agreements, Regulatory IM Documents, Account Control Agreements, Custody Agreements, Prime Brokerage Agreements and Term Commitment Agreements, with a variety of counterparties, including hedge funds and registered funds
- Lead or participate in internal calls with senior credit officers and front office contacts, as well as calls with clients and external legal counsel, to discuss issues that arise during negotiations of trading agreements and/or prime brokerage related documents
- Liaise and coordinate with internal stakeholders, such as Credit, Business, Tax, Legal, Operations and Collateral Management, during the documentation process
- Provide timely updates to the Business on the status of negotiations, whether via weekly calls or through the team's internal document tracking system
- Support internal initiatives related to documentation, process automation, and regulatory compliance
Requirements
- Law degree is required
- 5+ years of solid legal, trading documentation, capital markets, origination or related experience
Preferred Qualifications
- J.D. required, New York Bar Admission preferred
- 6-8 years of experience (either at a law firm or a dealer)
- Strong North American prime brokerage negotiation experience, together with experience negotiating term commitment agreements and custody agreements
- Solid experience negotiating ISDA Master Agreements, Credit Support Annexes, Master Confirmation Agreements and Account Control Agreements with hedge funds and registered funds
- Experience negotiating the full suite of regulatory initial margin documentation
Skills
The candidate for this position will enjoy working on legal trading documentation, be able to effectively apply legal and sound risk management principles and display good drafting ability. Excellent written and verbal communication skills, good PC skills and the ability to multi-task and meet tight deadlines in a fast-paced trading environment are requirements. Strong interpersonal and teamwork skills are essential. Ability to work under tight deadlines and flexibility to support global time zones as required.
