Transactional Associate Attorney
Position Summary
We are seeking a motivated and detail-oriented Transactional Attorney to join our growing Transactional Practice Group. The ideal candidate will have at least 5 years of experience handling corporate and commercial transactions, with the ability to independently manage matters while collaborating with attorneys across multiple practice areas. This is an excellent opportunity for an attorney interested in representing businesses, investors, developers, and entrepreneurs in complex transactions involving corporate law, commercial real estate, finance, and general business counseling.
Key Responsibilities
- Represent clients in mergers and acquisitions, business formations, restructurings, and corporate governance matters.
- Draft, review, and negotiate a broad range of transactional documents, including purchase agreements, operating agreements, shareholder agreements, financing documents, commercial contracts, and organizational documents.
- Aid clients with commercial real estate transactions, including acquisitions, dispositions, leasing, financing, and development projects.
- Conduct legal due diligence and prepare transaction summaries, disclosure schedules, and closing documents.
- Advises clients on entity selection, governance, risk management, and day-to-day business operations.
- Collaborate with attorneys on complex corporate, commercial, financing, and real estate matters.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law in Illinois.
- Minimum of 5 years of transactional legal experience.
- Strong experience drafting and negotiating corporate, commercial, and real estate agreements.
- Exceptional legal writing, analytical, and contract drafting skills.
- High attention to detail and strong organizational abilities.
- Ability to manage multiple matters independently while contributing to a collaborative team environment.
- Strong interpersonal skills and commitment to outstanding client service.
Preferred Experience
- Experience with mergers and acquisitions, corporate finance, and commercial lending transactions.
- Experience representing developers, lenders, investors, or closely held businesses.
- Familiarity with commercial real estate acquisitions, leasing, financing, and development.
- Experience coordinating complex transactions involving multiple parties and outside professionals.
