Transactional and Commercial Counsel
Job Summary
Reporting to the leader of the Transactional Center of Expertise (COE), the Transactional and Commercial Counsel is a key member of the Law and Business Environment (LBE) team, responsible for providing legal support across commercial transactions and sales-related commercial activities. This role combines core transactional contracting with adjacent commercial responsibilities that sit at the intersection of products, sales support, contracts, and external-facing business communications. The position partners closely with sales, product, marketing, and compliance stakeholders.
Key Tasks & Responsibilities (Essential Functions)
- Draft, review, and negotiate a variety of commercial agreements, including nondisclosure agreements, global sales-related contracts (customer/partner agreements, sales agency agreements, distribution agreements, reseller agreements, OEM agreements, other channel agreements, etc.), professional/master services agreements, statements of work, and related documents.
- Aid in the development, use, and refinement of standard templates, fallback positions, and contracting standards.
- Advise business teams on contract strategy, negotiation positions, and risk allocation.
- Draft, review, and support standard and non-standard product warranties.
- Review and advise on product and sales documentation, including marketing materials, such as brochure and sell sheets, product warnings and instruction sheets, websites, and other launch materials.
- Support government contract needs as necessary.
- Provide legal support on product adjacent regulatory matters as requested by compliance partners.
- Review print and digital marketing and advertising materials, including websites, social media posts, case studies, and white papers for legal and regulatory compliance.
- Draft and review terms and conditions for incentive programs, rebates, discounts, and promotional programs and offerings.
- Support regulated or compliance driven marketing issues, including claim substantiation and disclosure requirements.
Skills And Minimum Experience Required
- Juris Doctor (JD) with 6–8 years of relevant legal experience, preferably in contracting, commercial, and sales support, and/or marketing/advertising law.
- Experience with the manufacturing or product-related industry preferred.
- Strong drafting skills, sound legal judgment, and a practical, business-oriented mindset.
- Ability to manage multiple matters and prioritize in a fast-paced environment while maintaining attention to detail.
- Effective communicator who collaborates well with cross-functional partners and understands when to escalate issues.
- Comfortable working a hybrid schedule, including regular onsite presence 3 days per week to support collaboration and business needs.
- Ability and willingness to travel up to 10% domestically and internationally as business needs require.
