About the role

Forescout is seeking an experienced Sr. Corporate Counsel, Commercial to join our dynamic global legal team and support the continued growth of our cybersecurity business.

Responsibilities

  • Leading the drafting and negotiation of strategic commercial agreements, with a primary focus on enterprise-level outbound commercial agreements, and supporting agreements, such as DPAs and security addendums, as well as channel partner agreements (distributors, resellers, technology alliances) and strategic technology partner agreements.
  • Supervising junior attorneys and legal professionals, fostering professional development and ensuring high-quality legal work.
  • Partnering with cross-functional stakeholders, including Deal Desk, Information Security, Product and Sales Operations to drive the commercial contract review and approval process.
  • Developing, maintaining, and enhancing contract templates, fallback positions, and negotiation playbooks.
  • Supporting and managing a variety of other projects, as needed.

Requirements

  • BA/BS and Juris Doctor (JD) required; licensed to practice in at least one U.S. state.
  • 10+ years of experience in-house, at a law firm, or a combination of both, with a proven track record of directly supporting a sales organization drafting and negotiating complex outbound commercial agreements, as well as significant experience with channel and reseller programs.
  • 3+ years of supervisory experience within a legal team.
  • Excellent legal and business judgment with the ability to quickly assess material risks and find workable solutions.
  • Sophisticated communication, negotiation, and drafting skills, with the ability to translate complex technical and legal concepts into practical business guidance.
  • Strong problem solving, project management and process optimization skills; hands-on experience with implementation and management of a CLM strongly preferred.
  • Demonstrated knowledge of IP, data protection, and regulatory frameworks.
  • Ability to work independently, manage competing priorities, and build productive relationships across a global organization.
