Position Overview
Provide legal counsel on matters relating to a broad range of securities and corporate law matters.
Essential Functions
- Assist in the development of various corporate policies and programs, including Board committee charters, Corporate Governance Guidelines and insider trading and Regulation FD compliance
- Provide drafting and other support with respect to Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements, registration statements, earnings releases and other investor communications
- Provide legal support to the Board of Directors and its committees, including developing meeting agendas and preparing minutes and other materials for meetings
- Provide legal support on debt and equity financings and other corporate finance transactions
- Provide legal support with respect to equity-based compensation plans, executive compensation matters, and Section 16(a) compliance
- Maintain awareness of pending securities law and corporate governance regulations and developments
- Comply with all applicable laws/regulations, as well as company policies/procedures
Qualifications
- Juris Doctorate degree from an A.B.A. accredited law school and appropriate admission to required state bar plus six (6) years’ experience and demonstrated competence as a practicing attorney in a law firm or in-house setting with primary emphasis on public company reporting and governance matters and capital markets transactions
- Excellent interpersonal and relationship-building skills
- Strong written and verbal communication skills
- Ability to understand and resolve complex legal issues and respond quickly to clients and third parties
- Strong organizational and time management skills, strong initiative and ability to prioritize multiple assignments and meet deadlines
- Strong research and analytical skills
Working Conditions
- Fast-paced, deadline oriented
- Some travel may be required
Pay and Benefits
Pay Range: $116,600.00 - $204,050.00 per year
