About the Role

Lead and execute complex legal and governance functions in collaboration with legal and cross-functional teams. Provide strategic paralegal support and guidance across Ball’s corporate practices, policies, and compliance initiatives. Mentor and guide junior paralegals and other legal support staff.

Responsibilities

  • Regulatory Responsibilities:
    • Assist in the preparation of SEC, NYSE, and other regulatory filings for the legal team.
    • Serve as primary liaison with external providers and regulatory bodies for SEC filings (including Forms 8-K and Section 16).
    • Prepare documents related to internal processes in support of regulatory filings.
    • Co-lead the organization and execution of Ball’s Annual Shareholder’s meeting.
  • Compliance Responsibilities:
    • Administer the company's insider trading compliance program.
    • Respond to internal audit requests and other requests in support of audit compliance requirements.
  • Entity Management Responsibilities:
    • Draft secretary’s certificates, incumbency certificates, and consents for Ball entities.
    • Oversee the preparation of annual reports for U.S. entities.
    • Ensure compliance of corporate organizational documents with applicable U.S. state agencies (including amendments to Articles of Incorporation, certificates of merger, and articles of dissolution).
    • Oversee entity management software (GEMS) and ensure global consistency in subsidiary governance (over 150 entities).
    • Maintain minute books and corporate records for U.S. and other select jurisdictions.
  • Corporate Secretary Support Responsibilities:
    • Serve as key contact for overall corporate governance and compliance processes, including general record-keeping, officer and director onboarding and offboarding, and preparation of board meeting materials.
    • Administer BoardVantage, including uploading documents, creating quarterly and ad-hoc Board Books, and maintaining the electronic portal access rights.
    • Consistently and professionally communicate with internal business clients, outside counsel, opposing counsel, and government entities as a representative of the Ball Corporation Law Department.
  • Administrative Support Responsibilities:
    • Provide administrative support for the chief legal officer and associate general counsel.

Qualifications

  • Associate or bachelor's degree in Paralegal Studies, Legal Studies, Business, or a related field, or an equivalent combination of education and work-related experience.
  • 7+ years of progressive paralegal experience, preferably in a corporate legal department or law firm supporting public company matters.
  • Hands-on experience supporting the preparation and submission of SEC filings, including Proxy statements, Section 16 forms, 8-K’s, or other reports.
  • Working knowledge of corporate governance, entity management, and regulatory reporting obligations for a publicly traded company.
  • Proven track record supporting board meetings and annual shareholder meetings.
  • Strong computer skills, including MS Word, Excel, and PowerPoint.
  • Ability to prioritize multiple complex, confidential, and time-sensitive tasks with little direction.
  • Strong written and verbal communication skills, with the ability to interact professionally with internal clients, outside counsel, opposing counsel, and government entities.
  • Handle sensitive and confidential information with the highest degree of discretion, exercising sound judgment in managing legal matters and communications.

Preferred Qualifications

  • Paralegal certificate from an ABA-approved program or an active paralegal certification (e.g., CP, ACP, or PACE Registered Paralegal).
  • Direct experience supporting an annual shareholder meeting and administering an insider trading compliance program.
  • Experience with entity management software (such as GEMS) and board portal platforms (such as BoardVantage or Diligent).
  • Experience managing corporate records and minute books across multiple U.S. and international jurisdictions.
  • Familiarity with NYSE listing requirements and SEC filing processes.

Pay

Expected hiring salary range: $75,400 - $105,290 (salary determined by the applicant’s education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data). This role is eligible to participate in the annual incentive compensation plan.

Schedule

Hybrid on-site work environment: Based in Colorado, this position requires regular in-person engagement by working on-site for three (3) or more work days per work week (with core collaboration days of Tuesday, Wednesday, and Thursday). Travel and local commute between Ball locations and other possible non-Ball locations may be required.
