About the role
Carta is the connected platform and AI‑native ecosystem for private capital, replacing fragmented tools with a single system of record for equity management, fund administration, reporting, and legal transaction closing. Trusted by 55,000 companies and 1.8M+ equity holders in 160+ countries, and 10,000 funds and SPVs representing $250B+ in assets under management. Recognized by Fortune, Forbes, Fast Company, Inc. and Great Places to Work.
Responsibilities
- Own the prompt intake and first‑round markup of investment‑related NDAs and related documents, ensuring nothing sits in a queue longer than it should and tight client turnaround times are consistently met.
- Support Carta's US lawyers with first‑round drafting and ad hoc legal work — handling the volume so attorneys can focus on the complexity.
- Set up and coordinate client workflows, manage document portals, and drive contracts through to execution, giving clients a seamless, professional experience at every step.
- Deliver crisp, commercially sound contract support that reflects Carta's reputation for precision — balancing speed with the attention to detail that private capital clients expect.
Requirements
- 3+ years of experience in a transactional or corporate practice group, or an in‑house commercial legal team, with hands‑on exposure to commercial contracts and investment‑related NDA drafting.
- Ability to work fast and precisely under pressure in high‑volume, deadline‑driven environments, handling competing demands without sacrificing quality.
- Strong grasp of relevant legal concepts and the commercial pragmatism to apply them — knowing when to flag issues and when to execute.
- Clear and concise written and verbal communication skills.
- Self‑starter with a builder’s mindset: takes ownership, identifies inefficiencies, and seeks improvements.
- Familiarity with private capital, fund structures, or investor onboarding workflows (a plus).
