About the role
Carta is the connected platform and AI-native ecosystem for private capital, providing a single system of record for equity, fund administration, and legal infrastructure. Trusted by 55,000 companies and 1.8M+ equity holders in 160+ countries, and 10,000 funds and SPVs representing $250B+ in AUM. You'll join the Contracts team that sits at the intersection of legal expertise and technology, processing investment-related NDAs and transactional documents at high volume, working alongside US lawyers and embedded AI agents to deliver fast, consistent contract work for private capital clients.
Responsibilities
- Own the prompt intake and first-round markup of investment-related NDAs and related documents, ensuring nothing sits in a queue longer than it should and tight client turnaround times are consistently met.
- Support Carta's US lawyers with first-round drafting and ad hoc legal work — handling the volume so attorneys can focus on complexity.
- Build workflows clients can rely on: set up and coordinate client workflows, manage document portals, and drive contracts through to execution, giving clients a seamless, professional experience at every step.
- Hold the quality bar: deliver crisp, commercially sound contract support that reflects Carta's reputation for precision — balancing speed with the attention to detail that private capital clients expect.
Requirements
- 3+ years of experience in transactional or corporate practice group, or an in-house commercial legal team, with hands‑on exposure to commercial contracts and investment‑related NDA drafting.
- Able to work fast and precisely under pressure in high‑volume, deadline‑driven environments, context‑switching between competing demands without sacrificing quality.
- Strong grasp of relevant legal concepts and commercial pragmatism to apply them — knowing when to flag an issue and when to just get it done.
- Clear, concise written and verbal communication skills.
- Self‑starter with a builder’s mindset: takes ownership, spots inefficiencies, and looks for ways to improve team operations.
- Familiarity with private capital, fund structures, or investor onboarding workflows is a strong plus.
