Senior Paralegal, Contracts

About the role
You'll be joining our Contracts team that sits at the intersection of legal expertise and technology — processing investment-related NDAs and transactional documents at a pace traditional law firms can't match. Reporting to a Supervising Attorney in the USA, you'll work alongside Carta's US lawyers and embedded AI agents to deliver high-volume contract work with the speed and consistency that private capital clients demand.
Responsibilities
- Own the prompt intake and first-round markup of investment-related NDAs and related documents, ensuring nothing sits in a queue longer than it should and tight client turnaround times are consistently met
- Make the process more effective
- Support Carta's US lawyers with first-round drafting and ad hoc legal work — handling the volume so attorneys can focus on the complexity
- Build workflows clients can rely on. Set up and coordinate client workflows, manage document portals, and drive contracts through to execution, giving clients a seamless, professional experience at every step
- Hold the quality bar. Deliver crisp, commercially sound contract support that reflects Carta's reputation for precision — balancing speed with the attention to detail that private capital clients expect
Requirements
- Experienced in transactional legal work. You have 3+ years of experience recommended working within a transactional or corporate practice group, or an in-house commercial legal team — with hands-on exposure to commercial contracts and investment-related NDA drafting
- Fast and precise under pressure. You thrive in high-volume, deadline-driven environments — you can context-switch between competing demands without letting quality slip
- Commercially and legally grounded. You have a strong grasp of relevant legal concepts and the commercial pragmatism to apply them — you know when to flag something and when to just get it done
- A clear communicator. Your written and verbal communication is crisp and concise — clients and colleagues get what they need from you without having to ask twice
- A self-starter with a builder's mindset. You take ownership, spot inefficiencies, and look for ways to improve how the team operates
- Familiar with private markets. Exposure to private capital, fund structures, or investor onboarding workflows is a strong plus
