Senior Manager Corporate Development

About the role

You will support Nord Anglia Education's growth strategy by providing full transaction support for three major types of corporate development projects: acquisition transactions, new build projects, and existing campus expansions, with a focus on acquisition projects. This role is based in Miami with a hybrid work arrangement.

Responsibilities

  • Market Prioritization and Pipeline Development
    • Develop a sound working knowledge of the international schools market and market participants to enable market prioritization.
    • Drive and manage internal and external geographical markets and education sub-sectors analysis.
    • Support the team in identifying potential acquisition and new build opportunities aligned with the Corporate Development strategy.
    • Develop and manage the acquisition pipeline through market visits and other initiatives.
  • Acquisitions
    • Participate in the entire transaction process from sourcing/origination to transaction documentation and completion.
    • Take a leading role in key aspects of transaction processes such as evaluation of opportunity, LOI, due diligence, and/or documentation.
    • Build and manage relationships with school owners, investors, and business partners.
    • Prepare and evaluate complex financial models (analysis, forecast, and valuation), including the impact of acquisitions on Nord Anglia Education from financial and operational perspectives.
    • Prepare investment cases for Nord Anglia Education's Executive Committees and Board for investment approvals.
    • Support the Head of Integration on integration planning and execution.
    • Manage project budgets and ensure cost-effectiveness.
  • Integration of Acquisitions
    • Support the production of integration and issues mitigation plans during acquisition, in close cooperation with regional Heads of Corporate Development, the Head of Transaction Delivery and Integration, Regional teams, and Central functions.
    • Ensure best practices and proven processes are followed from plan generation to execution.
    • Ensure all key elements of due diligence are included in integration and remediation plans, with adequate measures validated by regions, central functions, Exco, or the Board depending on priorities.
    • Prepare progress reports of integration for Exco at regular intervals.
  • New Builds
    • Support the Head of Infrastructure Development on analysis of financial and operating data, and prepare financial models to support business cases.
    • Prepare Board presentations for investment recommendations.
  • Strategic Studies
    • Support the Head of Transaction Delivery and Integration and the Corporate Development Director on managing internal and external strategic studies on growth strategy, market prioritization, and capital deployment prioritization.
    • Design, plan, and execute Nord Anglia Education’s Corporate Development Strategy with the ultimate objective of creating value for shareholders.
  • People Management and Leadership
    • Maximize team contribution and create a positive team working environment where project staff demonstrate commitment to high-quality work and job satisfaction.
    • Proactively manage individual performance effectiveness in alignment with Nord Anglia Education’s core vision and values.
    • Establish and maintain a high-performing Corporate Development team capable of delivering acquisitions at the highest standard.
  • Client Liaison / Customer Support
    • Represent Corporate Development and Nord Anglia Education in direct liaison with sellers, investors, advisors, sponsors, and partners.
    • Represent Nord Anglia Education at meetings, seminars, conferences, and other events as required.

Requirements

  • Strong academic background with a degree from a leading university.
  • MBA or a Master’s in finance, CFA, CPA, or equivalent is a plus.
  • Experience of various markets and cultures.
  • Experience working in a deal environment, preferably in (by order of preference): Corporate M&A, Private Equity, transaction team of a Big 4 accounting firm, Investment bank, or management consulting with transaction experience from a top consulting firm.
  • Outstanding analytical, financial modeling, and valuation skills, with strong PowerPoint proficiency.
  • Highly numerate with a sound understanding of financial drivers behind revenues and profitability.
  • Solid knowledge of financial accounting.
  • Ability to pay attention to detail without compromising the big picture.
  • Ability to work in teams, independently, and under pressure.
  • Ability to summarize complex issues.
  • Ability to think creatively when resolving complex issues.
