Senior Lead Counsel - Director
To provide legal support to Markets businesses in connection with Rates and Markets Treasury businesses globally, with a focus on North America and LATAM. The role covers all desks within Rates and Markets Treasury, interacting primarily with the NAM Corporate Solutions Group, the Rates and Markets Treasury structuring team, the Local Markets Rates business in NAM & LATAM, and businesses providing bespoke funding and hedging solutions to clients.
About the Role
This position requires a broad range of legal skills, including expertise in secured and deal-contingent hedging, structuring complex bespoke trades (e.g., securities lending, derivatives, loans, deposits), and knowledge of ISDA definitional booklets (Rates and Credit Definitions). Familiarity with regulations such as Dodd Frank, US Risk Retention, securities laws, and Volcker is essential, along with experience in emerging/local markets. The role involves advising multiple desks with varying technical requirements across derivatives and securities financing transactions (SFTs).
The successful candidate will serve as a senior adviser to stakeholders in Risk, Finance, Compliance, and Legal, and may manage 4-5 direct reports in the RMT Legal team (located in New York and Europe). The role includes escalation for technical questions and formal management duties, with an emphasis on developing junior colleagues. Candidates may discuss non-management alternatives during recruitment.
Responsibilities
- Advise on bespoke financing structures, including repo financing, derivatives-based financing (e.g., TRS), collateralization, financial guarantees, and margin loans.
- Handle technical elements of derivative documentation, such as close-out provisions, termination clauses, cash settlement calculations, and bespoke payoffs.
- Structure and advise on syndicated swap arrangements (e.g., risk participation agreements).
- Provide expertise on secured hedging, including explaining nuances to business and risk stakeholders.
- Advise on contingent hedging related to M&A, issuance, and project finance.
- Support repackaging transactions across product classes, including securities rules (144A, 4(a)(2), Reg S), investment company act exemptions (3a-7, 3(c)(1), 3(c)(7)), commodity pool exemptions, and US Risk Retention implications.
- Advise on non-linear derivatives, particularly swaptions and inflation-based products.
- Provide guidance on the 2006/2021 ISDA Definitions and 2003/2014 ISDA Credit Definitions.
- Address disputes and queries arising from OTC transactions.
- Advise on stable value products and regulatory aspects (e.g., Dodd Frank, Volcker).
- Train and support colleagues on technical and regulatory matters.
- Collaborate with the Global Head of Rates & Markets Treasury Legal on escalations and strategic initiatives.
Requirements
- At least 8 years’ post-qualification experience, preferably in-house.
- Strong, broad understanding of financial products (e.g., bonds, loans, derivatives, SFTs) and their interactions.
- Essential derivatives experience, with preference for knowledge of the 2006/2021 ISDA Definitions and 2003/2014 ISDA Credit Definitions.
- Experience structuring complex transactions, including regulatory characterization, capital, credit, and XVA considerations.

Pay
Full-time salary range: $170,000.00 – $300,000.00.
