About the Role

MGID, a leading native advertising platform, is seeking a US-qualified Senior Lawyer to join its global AdTech company. As a strategic legal partner, you will advise on AdTech, commercial contracts, privacy, data protection, product, regulatory compliance, and disputes, while leading key negotiations and managing US legal matters.

Responsibilities

  • US Commercial and Contract Support:
    • Draft, review, and negotiate commercial agreements for MGID’s US operations, including advertiser, agency, publisher, strategic partnership, vendor, SaaS, data, technology, and service agreements.
    • Lead negotiations of material or high-risk US agreements and provide clear recommendations on legal and commercial positions.
    • Develop and maintain US contract templates, fallback positions, negotiation playbooks, and approval rules.
    • Ensure contractual arrangements address liability, indemnities, privacy, data use, intellectual property, confidentiality, compliance, payment, and termination risks.
    • Support Commercial and Operations teams in resolving contractual issues with clients, publishers, vendors, and partners.
  • Privacy, AdTech, and Product Counselling:
    • Advise on US privacy and data protection requirements for MGID’s products, advertising technologies, and operations.
    • Assess data flows, tracking technologies, targeted advertising practices, audience-related products, and vendor integrations.
    • Review new products and features, providing privacy-by-design and compliance recommendations.
    • Support preparation and maintenance of privacy notices, contractual privacy provisions, internal policies, consent mechanisms, and data governance documentation.
    • Collaborate with DPO, Product, Information Security, Compliance, and Technology teams on privacy and data matters.
    • Monitor changes in US federal and state laws, enforcement practices, and AdTech industry standards.
  • Advertising and Regulatory Compliance:
    • Advise on advertising claims, marketing practices, and consumer protection requirements.
    • Assess unfair or deceptive practice risks and recommend disclosures and mitigation measures.
    • Support responses to regulatory inquiries, complaints, subpoenas, and enforcement matters.
    • Prepare legal updates and implementation guidance on US regulatory developments.
  • Disputes and External Counsel Management:
    • Manage pre-litigation disputes, demand letters, contractual claims, and settlement discussions.
    • Coordinate litigation and regulatory matters with external counsel.
    • Monitor external counsel performance and legal spend, ensuring practical implementation of advice.
    • Escalate material claims, investigations, and liabilities to the Chief Legal Officer.
  • Corporate, Employment, and Operational Support:
    • Support US corporate governance, subsidiary maintenance, intercompany documentation, and signing arrangements.
    • Coordinate with external counsel on employment, corporate, tax, and litigation matters.
    • Advise HR on routine US employment matters and identify issues requiring specialist counsel.
    • Support internal investigations and sensitive employee or compliance matters.
  • Legal Risk Management and Business Partnering:
    • Act as the principal US legal contact for relevant business teams.
    • Maintain oversight of US legal risks, disputes, regulatory developments, and remediation actions.
    • Prepare legal memoranda, risk assessments, and management summaries.
    • Develop training and guidance for business teams on contracts, privacy, advertising compliance, and US legal topics.
    • Contribute to global Legal Department projects, policies, and process improvements.

Requirements

  • Law degree and active membership in good standing of at least one US state bar.
  • Eligibility to practice or register as in-house counsel in the state of employment.
  • At least 8 years of relevant US legal experience, including commercial contracts, technology, digital advertising, privacy, or data-related matters.
  • At least 3 years of in-house experience with technology, digital media, advertising, SaaS, or data-driven businesses, or equivalent law firm experience.
  • Strong experience drafting and negotiating complex commercial and technology agreements.
  • Working knowledge of US privacy laws, FTC requirements, and digital advertising regulations.
  • Ability to advise on legal issues related to online advertising, tracking technologies, and data practices.
  • Experience managing disputes, regulatory inquiries, and external litigation counsel.
  • Strong stakeholder management and communication skills.
  • Commercial mindset, ownership, and ability to prioritize legal and business risks.

Qualifications

  • Experience in AdTech, MarTech, digital media, or programmatic advertising is a plus.
  • Knowledge of NAI, DAA, and IAB standards.
  • Experience with CCPA/CPRA compliance and AI-related matters.
  • CIPP/US, CIPM, or relevant privacy qualification is advantageous.
  • Experience supporting globally distributed teams and coordinating with international lawyers.
