Senior Counsel Corporate and Securities

Key Responsibilities

• Provide primary legal support for public company reporting and SEC compliance
• Provide advice regarding securities law disclosure/compliance, including Annual Reports, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and the annual meeting of stockholders
• Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting
• Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications
• Manage and provide guidance on internal processes for employee equity
• Afford legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings
• Afford legal support on financing matters
• Advising on other legal matters that arise across various functions within the company
• Manage outside counsel as needed in connection with executing above responsibilities and duties

Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar
• 8-10 years of experience in both a law firm and Life Sciences company with relevant corporate, securities, capital markets, M&A, or governance experience
• Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC reporting and disclosure requirements, corporate governance, and capital markets transactions
• Excellent drafting, negotiation, project management, communication, and judgment skills
• Experience supporting an IPO, public company transition, or public company compliance program preferred
