Senior Counsel, Corporate & Securities
About the role
The Senior Counsel, Corporate & Securities advises on securities laws, understands business risks and opportunities, and advises senior leaders and other internal partners on all aspects of the business through a public company lens.
Responsibilities
- Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and S-8s to ensure compliance with SEC and NYSE rules and regulations
- Provide Treasury and Tax Support, including for credit facilities, convertible notes offerings, 10b5-1 plans, share repurchase agreements, and intercompany agreements
- Review external communications, including press releases, investor presentations, and other announcements, and significant internal communications
- Monitor for developments in securities disclosure and SEC rulemaking and advise on updates relevant to the company’s disclosure requirements, on an ongoing basis
- Support policies and procedures relating to securities law compliance and disclosure matters; support the administration of Etsy’s Insider Trading Policy
- Advises and support Etsy’s corporate governance policies, including ensuring compliance with governance policies and charter documents
- Support executive compensation, equity compensation, and incentive compensation plan matters, and prepare and review proxy statement executive compensation tables
- Work closely with Etsy’s Accounting, Finance, Treasury, Tax, and Impact teams, as well as internal and external legal counsel and legal services vendors
- Support the preparation of Audit Committee and Risk Oversight Committee materials
- Support other projects, such as financing transactions
Requirements
4-8 years’ experience at a law firm, and preferably also in-house dealing with a broad range of securities law disclosure, executive compensation, and corporate governance issues.
JD and admitted to a state bar (NY preferred)
Ability to work independently, and to manage projects from conception to completion, often without additional support, and to work collaboratively with others.
Experience providing clear, impactful advice to business partners, helping them analyze options and work collaboratively to reach the right decision, while distilling complex issues into clear explanations, organized steps, and compelling advice.
Excellent verbal and written communication skills, effectively engaging technical experts, employees, and business leaders through clear, jargon-free language.
Excellent organizational and prioritization skills, supporting effective management of complex and competing priorities.
Excellent business writing and presentation skills. We expect you to be able to read a spreadsheet and build a slide deck.
Ability to work quickly on your feet and give succinct, pragmatic advice in meetings or in real time.
Working knowledge of Workiva required.
