About the role
The Sr. Commercial Counsel will provide legal support to the Carbon Capture and Sequestration business team, Tallgrass Water business team, Tallgrass fiber, and ILS initiatives.
Responsibilities
- Draft, review, and negotiate carbon sequestration, transportation, and sales agreements, as well as carbon capture agreements.
- Draft, review, and negotiate purchase and sale agreements for fresh water and gathering and disposal agreements.
- Draft indefeasible rights of use agreements for fiber infrastructure.
- Draft, review, and negotiate joint development agreements, developer services agreements, development funding agreements, and related agreements.
- Provide general commercial contracting experience.
- Offer strategic advice on transaction structures, considering state and federal regulatory schemas and 45Q tax requirements.
- Facilitate and oversee outside counsel.
- Attend and participate in staff meetings, internal meetings, and meetings with customers, investors, partners, regulators, or other third parties as requested.
- Perform other daily, weekly, monthly, or special project duties as identified and defined.
Requirements
- Juris Doctor from an accredited institution.
- Five to eight (5-8) years of relevant legal experience.
- Licensed to practice law in the U.S.
- Valid driver’s license with a driving record satisfactory to the Company and its insurers (for travel).
- Intermediate proficiency in MS Office applications (Excel, Word, Access, PowerPoint, Outlook).
- Proficiency with relevant legal research tools.

Physical Demands

- Must be able to sit for prolonged periods.
- General office working conditions with minimal safety hazards.
Working Conditions
- Occasional overnight travel may be required.
- Required to carry a cell phone and be available to respond during working and non-working hours.
- Must clear a drug screen and complete background check, including a credit report for certain positions, after an offer is extended.
