About the role

The Sr. Commercial Counsel will provide legal support to the Carbon Capture and Sequestration business team, Tallgrass Water business team, Tallgrass fiber, and ILS initiatives.

Responsibilities

  • Draft, review, and negotiate carbon sequestration, transportation, and sales agreements, as well as carbon capture agreements.
  • Draft, review, and negotiate purchase and sale agreements for fresh water and gathering and disposal agreements.
  • Draft indefeasible rights of use agreements for fiber infrastructure.
  • Draft, review, and negotiate joint development agreements, developer services agreements, development funding agreements, and related agreements.
  • Provide general commercial contracting experience.
  • Offer strategic advice on transaction structures, considering state and federal regulatory schemas and 45Q tax requirements.
  • Facilitate and oversee outside counsel.
  • Attend and participate in staff meetings, internal meetings, and meetings with customers, investors, partners, regulators, or other third parties as requested.
  • Perform other daily, weekly, monthly, or special project duties as identified and defined.

Requirements

  • Juris Doctor from an accredited institution.
  • Five to eight (5-8) years of relevant legal experience.
  • Licensed to practice law in the U.S.
  • Valid driver’s license with a driving record satisfactory to the Company and its insurers (for travel).
  • Intermediate proficiency in MS Office applications (Excel, Word, Access, PowerPoint, Outlook).
  • Proficiency with relevant legal research tools.

Physical Demands

  • Sitting, standing, walking, or moving throughout the facility; driving.

  • Bending, stooping, squatting, crouching, reaching, kneeling, pushing, pulling, and lifting up to 25 lbs.
  • Regular use of hands for typing, handling, or feeling.
  • Frequent standing and reaching with hands and arms; occasional walking and climbing or balancing.
  • Must be able to sit for prolonged periods.
  • General office working conditions with minimal safety hazards.

Working Conditions

  • Occasional overnight travel may be required.
  • Required to carry a cell phone and be available to respond during working and non-working hours.
  • Must clear a drug screen and complete background check, including a credit report for certain positions, after an offer is extended.
