Responsibilities

  • Provides programmatic support for the TerraPower Lawyers, and reports to the Associate General Counsel.
  • Prepares drafts of agreements and other documents and handles both routine and first line non-routine contract review and negotiations in support of the Procurement team and Contracts team.
  • Lead/assist in negotiation and drafting of complex construction agreements of varying types, including EPC and design-build, in support of project delivery for publicly and privately funded construction projects.
  • Proactively work with TerraPower teams to properly administer contracts, including drafting letters related to contract administration for project teams to send to contractors, clients, and other third parties.
  • Manage outside counsel and specialists on construction matters, including related regulatory matters and dispute management.
  • Provides legal support for TerraPower government contracts and grants and associated compliance requirements.
  • Prepares updates to and provides administration of legal policies and procedures in consultation with other TerraPower Lawyers.
  • Supports the creation of, and updates to, standard contract templates for TerraPower’s business.
  • Creates and formats documents electronically including letters, memos, status reports, presentations (PowerPoint), spreadsheets (Excel), and other related documents.
  • Fills, tracks and updates a variety of business and legal templates and documents.
  • Understands the nature of the business in order to provide value-added service and enhance working relationships.
  • Facilitates daily contact with other TerraPower Lawyers and other TerraPower personnel via email, phone and videoconference.
  • Manages external work with outside lawyers and others regarding matters on which the TerraPower legal team is working.
  • Initiates and sustains continuous improvement in TerraPower contracting advice, negotiations, templates, drafting, implementation and management, undertaking negotiations and contract management when needed.
  • Initiates and implements technological improvements to streamline legal review and support.
  • Determines the priority and responds appropriately and coordinates communications with stakeholders.
  • Makes recommendations as needed regarding appropriate action and follow-up.
  • Conducts legal and other research (electronic and other resources), creating deliverables ready to share directly with the other functions within TerraPower.
  • Provides back-up support to other TerraPower Lawyers and other legal team members.
  • Participates actively in group meetings to understand short and long term goals of legal team and the business.
  • Collaborates with intellectual property team on intellectual property issues.
  • Manages outside counsel.
  • Periodic domestic travel may be required.

Qualifications and Skills

  • Minimum of 8-10 years’ relevant experience, including law firm experience, preferably in construction, commercial contracting, technology, and/or energy sectors, and/or inhouse experience; experience in the nuclear sector a plus.
  • Strong construction, contract and commercial law experience, including technology transactions.
  • Experience drafting and negotiating government contracts, grant agreements and related supporting contracts.
  • Familiarity with regulatory matters, including export control, preferably in the nuclear context.
  • Ability to manage outside counsel effectively and efficiently.
  • Demonstrated creativity in legal approaches to complex problems and issues that balance business needs and legal risks.
  • History of integrity, sound legal and business judgment and an ability to communicate effectively.
  • Entrepreneurial mindset and ability to work independently across time zones and cultures to quickly address novel situations and change.
  • Technical background or proven ability and interest in learning new technologies.
  • J.D. required with license to practice in at least one state. Member of the Washington State Bar, or eligible for admission via in-house rule APR 8(f) which must be obtained promptly after start date.
  • The successful candidate will have a high degree integrity, communicate openly and display respect, be trustworthy and have a desire to foster teamwork.
