About the role
The Senior Contract Specialist position at Haemonetics is pivotal in managing a wide array of commercial contracts, ensuring effective risk management and compliance across various business units.
Responsibilities
- Revise, edit, and prepare redlines of complex commercial contracts, including master services agreements, capital equipment purchase agreements, public tenders, group purchasing agreements, software agreements, collaboration agreements, development agreements, vendor agreements, and negotiating non-customer-facing agreements as requested.
- Evaluate the commercial and legal risk to the Company and suggest appropriate contract structures or terms that will provide effective risk management.
- Analyze the legal and business obligations set forth within contracts & tenders. Evaluate risk or potentially unfavorable language and elevate any issues to Legal Department and other applicable internal stakeholders.
- Advise and counsel Commercial teams, to identify critical contractual & regulatory issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible solutions.
- Aid in the ongoing periodic review of contract templates, contract playbooks, company guidelines, and contract policies and procedures.
- Effectively manage the contract management system and ensure on-time processing of all contracts from initial request through execution.
- Lead efforts to update and maintain the legal terms and conditions held with the contract management system.
- Draft template contracts, correspondence, memoranda, and other documentation as needed.
- Assist with compliance and diligence issues related to commercial transactions.
- Maintain oversight of contract compliance for all business units, monitoring business through the analysis of key reports and actual customer results against contracts; proactively advise legal department on a routine basis of the results and out of compliance concerns and highlights trends and activities.
Qualifications
- Bachelor's Degree or equivalent work experience required, including experience in complex tender handling where applicable.
- Paralegal degree preferred but not required.
- Advanced university degree in law, or related business field.
- 5-7 years Professional experience in a law firm or corporate contract management setting required.
- Prior experience in a healthcare industry (Medtech/Biotech/Pharma/Lifesciences) working directly with hospitals strongly required.
Additional Skills and Requirements
- Strong understanding of legal issues and risks pertinent to commercial contract process.
- Solid understanding of contracting in life science companies, including the development, clinical and commercial contract processes.
- Capable of producing high quality routine work with general to minimal supervision.
- Demonstrated analytical skills & problem solving skills.
- Demonstrate high level of integrity and professionalism.
- Superb attention to detail and provide timely legal support in a fast-paced environment.
- Participate in other projects as requested.
