Senior Associate, M&A Tax

What We’re Looking For
Leo Berwick is looking for a Sr. Associate, M&A Tax to join our growing deal team. You’re the right fit for this role if:
- You currently work at a Big 4 or Big Law firm in their transactional tax group, and you’re tired of the conflict-of-interest rules dictating which deals you work on and the red tape.
- You have M&A tax down to a fine art and dance circles around your peers, but you only earn a fraction more than them because of bureaucracy.
- You want to learn from the best, help grow the practice, and be rewarded for your efforts.
What You'll Do
Oversee international and domestic M&A deals, including performing tax due diligence and tax structuring services
Be a trusted advisor for every Leo Berwick client and partnership
Provide timely and quality tax advice, always aiming to exceed client expectations
Work closely with Partners, Directors and Vice Presidents on business development and various technical tax issues dealing with
Subchapter C, Subchapter K, inbound and outbound international tax issues
Review and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction
Review tax aspects of merger agreements and legal documents; provide tax opinion memorandums
Develop, motivate, and train Associates as needed
What You Bring
- JD or Master’s degree in Finance, Accounting, Tax Law, or a related discipline.
- Minimum of 2 years’ experience in tax due diligence, transaction structuring, and post-merger integration within a Big 4 firm, corporate tax function, Big Law environment or you are someone with a federal tax background and a desire to move into M&A tax.
- Proven experience planning and executing complex projects, including budget management and prioritization.
- Ability to distill and communicate complex tax matters clearly and effectively to clients and internal stakeholders.
- Excellent written and verbal communication skills, with strong research, analytical, and presentation capabilities.
- Demonstrated success in a fast-paced, professional services environment with competing priorities.
- Exceptional attention to detail and commitment to high-quality work product.
- Strong leadership, organizational, and time-management skills.
- Results-oriented, deadline-driven, and comfortable managing multiple concurrent workstreams.
- Proactive, critical-thinking self-starter with sound judgment.
