SaaS Insurance Strategic Agreements Contracts Associate Manager- US
About the Role
We are seeking an experienced SaaS Insurance Strategic Agreements & Contracts Associate Manager to support the review, administration, auditing, and compliance management of strategic commercial agreements across our SaaS and technology business within the Insurance vertical. This role is ideal for an in-house paralegal or contract professional with strong commercial acumen and hands-on experience in SaaS contracting, contract audits, compliance reviews, and insurance-related technology agreements.
The successful candidate will partner closely with Legal, Sales, Finance, Procurement, Risk, Compliance, and Business Operations teams to ensure contractual obligations are met, risks are identified and mitigated, and agreements remain compliant with internal policies and regulatory requirements.
Responsibilities
- Contract Management & Administration
- Review, analyze, and manage commercial contracts throughout the full contract lifecycle.
- Support negotiation and drafting of SaaS agreements, service agreements, amendments, renewals, and order forms.
- Maintain contract repositories and ensure documentation accuracy and completeness.
- Track contractual obligations, milestones, renewals, and deliverables.
- SaaS Contract Audit & Compliance
- Conduct audits of SaaS and technology contracts to identify compliance gaps, risks, and operational issues.
- Monitor adherence to contractual obligations, service commitments, and regulatory requirements.
- Develop and maintain contract compliance reporting and dashboards.
- Support internal and external audit activities related to contractual compliance.
- Insurance & Regulatory Focus
- Review contracts supporting insurance-related technology and SaaS services.
- Assess compliance with applicable insurance industry regulations and corporate governance requirements.
- Partner with legal and compliance stakeholders to ensure contracts align with regulatory standards and risk frameworks.
- Commercial & Risk Assessment
- Evaluate commercial terms, pricing structures, liability provisions, indemnification clauses, and service commitments.
- Identify contractual risks and recommend mitigation strategies.
- Support dispute resolution, contractual interpretation, and remediation activities.
- Collaborate with business stakeholders to optimize contract value while reducing exposure.
- Stakeholder Collaboration
- Act as a trusted advisor to internal business partners on contract-related matters.
- Work closely with Legal, Procurement, Finance, Sales, Compliance, and Operations teams.
- Support contract governance initiatives, process improvements, and policy development.
Requirements
- Bachelor's Degree in Law, Paralegal Studies, Business Administration, Finance, Accounting, Contract Management, Compliance, or related field.
- Must be legally authorized to work in the US without requiring sponsorship now or in the future.
- Minimum 5 years of hands-on experience with:
- Commercial contract management, supporting insurance, Insurtech, or financial services contracts.
- SaaS or technology agreements for Insurance.
- Contract auditing and compliance.
- Contract lifecycle management.
- Preferred experience working as an In-House Paralegal with strong commercial focus.
- Strong understanding of:
- SaaS agreements, Master Service Agreements (MSAs), Statements of Work (SOWs).
- Data protection and confidentiality provisions.
- Commercial risk management.
- Advanced proficiency in Microsoft Office applications and contract management tools.
- Strong written and verbal English communication skills.
Preferred Qualifications
- Experience working within a technology services, software, cloud, or SaaS organization.
- Knowledge of regulatory compliance frameworks relevant to insurance and financial services.
- Professional certifications such as:
- CPCM (Certified Professional Contracts Manager).
- CFCM (Certified Federal Contracts Manager).
- IACCM/WorldCC Certification.
- Compliance or Risk Management Certification.
Work Environment
