Private Companies Atty: 3rd-6th year

About the role

Cooley is seeking a 3rd-6th year associate to join its elite private companies team in Washington, DC or Reston, Virginia. The ideal candidate will have deep experience counseling and advising venture-backed companies on general corporate matters through their growth cycle, including venture capital financings and liquidity events.

Responsibilities

• Counsel and advise venture-backed companies on general corporate matters through their growth cycle
• Participate in venture capital financings and liquidity events
• Work closely with clients on strategic planning and business development
• Assist in the negotiation and drafting of various legal documents
• Provide guidance on regulatory compliance and risk management

Requirements

• No less than three years of extensive experience involving early-stage and growth-stage companies
• Experience working in the corporate department of a national or international law firm
• A high level of academic achievement from a nationally recognized law school

Qualifications

• Admitted to practice in at least one U.S. jurisdiction
• Passionate about advising disruptive companies and the investors that fund them

• Strong analytical and problem-solving skills
• Excellent communication and interpersonal skills
• Ability to work independently and as part of a team
• Proficiency in Microsoft Office Suite

Pay

The expected annual pay range for this position is $260,000-$390,000. Final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
