Compensation & Benefits Atty: Private Equity 5+ yr

About the Role

We are seeking an Associate with 5+ years of experience advising on executive compensation and employee benefits matters, with a focus on representing private equity sponsors in acquisitions and divestitures. The role involves handling day-to-day portfolio company matters, including grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements.

Requirements

• Experience with mergers and acquisitions involving privately held companies
• Expertise in IRC Sections 280G and 409A
• Excellent academic credentials
• Superior writing, oral communication, and analytical skills

Pay

Expected annual pay range for this position is $365,000+, with the final offer amount dependent on geographic location, applicable experience, and skillset.
